Mission
Organizations don't fail for lack of answers, but for lack of objections. We give decision-makers a calibrated, sovereign adversary: where assistants please, CounterBrain attacks the judgment with explicit assumptions, counter-intuitive scenarios, falsification tests and a stated confidence. Our ambition is to make contradiction a standard infrastructure of high-stakes decisions, the way management control and cybersecurity became one.
The founder
Over twenty years in extraordinary finance — M&A, special situations, distressed credit, company valuation — alongside those who make high-stakes decisions. Among the deals he led was the rescue of the historic Borsalino brand, an icon of Made in Italy. He is founder and director of Coopera Venture Capital, has structured growth transactions for listed Italian companies with LDA Capital, and has served as an independent director in listed companies and as a standing statutory auditor at banking institutions.
CounterBrain was born from that work. The contradictor every decision-maker should have beside them — someone who tests the decision before reality does — is the role Canepa played for a career. CounterBrain turns it into a system: transferable, calibrated, under the decision-maker's control.
Author of several books on venture capital, M&A, distressed credit and artificial intelligence applied to business decisions — including «The Art of Venture Capital» and «10 M&A Mistakes» — he pursues quantitative research on the markets, with a paper on Multiple Spread Trading currently under review at an international journal. His public thesis, «meritograzia» — the worth that in Italy is too often pardoned rather than recognised — is the same principle that drives CounterBrain: surfacing the real merit of a decision, not the apparent one.

Model-agnostic behind a gateway and ready for air-gapped environments — installed on the organization's own servers, with nothing leaving the perimeter. Every decision and every outcome feed a sovereign ledger that calibrates judgment over time: the proprietary data that compounds into advantage.
